1. Agreement to these terms

These Terms of Service govern your use of ineedleads.net (the "Site"), operated by I Need Leads LLC, a Wyoming limited liability company ("we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Services we perform for clients are governed by a separate signed services agreement. Where that agreement conflicts with these Terms, the signed services agreement controls.

2. What we do

We provide local search engine optimization services: Google Business Profile optimization, local SEO build work, and recovery work for businesses leaving a previous agency. Scope, deliverables, timelines, and fees for any engagement are defined in a written quote or statement of work before you sign.

We do not manage pay-per-click advertising, we do not design or host websites, and we do not take clients outside the Las Vegas Valley.

3. No guarantee of results

Search engine results depend on factors outside our control, including your market, your competitors, your budget, your pricing, your sales process, and continuing changes to third-party platforms and ranking systems.

We do not guarantee any specific ranking, traffic volume, lead volume, conversion rate, or revenue outcome. No employee, contractor, or representative of I Need Leads LLC is authorized to give you such a guarantee, and any statement to the contrary is void.

Timeline ranges we publish — Google Business Profile improvements in 30 to 60 days, local map pack movement in 60 to 90 days, organic growth compounding through months three to six — are estimates based on typical outcomes in the Henderson market. They are not commitments, and competitive categories run slower.

4. Not professional advice

Content on this Site is general business information. It does not constitute legal, tax, accounting, medical, or regulatory compliance advice. You remain responsible for the legal and regulatory compliance of your own business and its advertising, including the accuracy and substantiation of any claim you ask us to publish on your behalf. Consult a qualified professional for advice specific to your situation.

5. Your responsibilities as a client

If you engage us, you agree to:

• give us accurate information, and timely feedback and approvals;
• provide the access we need to accounts that remain in your name;
• hold all rights to the content, images, trademarks, and claims you supply to us; and
• comply with every law applicable to your business and your advertising.

You keep ownership of your domain, hosting, website, Google Business Profile, Google Search Console, and Google Analytics throughout and after any engagement.

6. Fees, term, and renewal

Fees are a flat monthly amount, quoted in writing before you sign, and do not change without your approval.

Engagements are month to month. There is no minimum term, no automatic renewal into a longer term, and no early termination fee. Either party may end the engagement effective at the end of a paid month. Because there is no automatic renewal feature, no negative-option or automatic-renewal disclosure applies.

Fees already paid for a completed month are not refundable, and work delivered during that month remains yours.

7. Intellectual property

All content on this Site — text, graphics, layout, and code — is owned by or licensed to I Need Leads LLC and protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works from it without our written permission.

Ownership of deliverables created for a client is governed by that client's signed services agreement. Our general position, stated here so it is not a surprise: work we publish to your own domain is yours.

8. Acceptable use

You agree not to use the Site to violate any law, to attempt unauthorized access to it or to any system connected to it, to interfere with its operation, or to scrape or harvest it by automated means beyond ordinary search engine indexing.

9. Third-party links

The Site links to third-party websites, including reference sources and platform documentation. We do not control them and are not responsible for their content, practices, or policies.

10. Disclaimer of warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any information on it is complete or current.

11. Limitation of liability

To the maximum extent permitted by law, I Need Leads LLC and its members, managers, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, lost business opportunity, or loss of goodwill, arising out of or relating to the Site or our services — whether the claim is framed in contract, tort, warranty, strict liability, or otherwise, and even if we were advised such damages were possible.

Our total aggregate liability for all claims will not exceed the total fees you actually paid us in the three months immediately preceding the event giving rise to the claim — or one hundred U.S. dollars (US$100) if you have paid us nothing.

Some jurisdictions do not allow certain limitations of liability, so some of these limits may not apply to you. Where a limitation is unenforceable, it is reduced to the minimum extent necessary and the rest of this section survives.

12. Indemnification

You agree to indemnify, defend, and hold harmless I Need Leads LLC and its members, managers, officers, employees, and contractors from and against any claim, demand, loss, liability, damage, cost, or expense — including reasonable attorneys' fees — arising out of or relating to your breach of these Terms, your violation of any law, or any content, claim, or material you provide to us for publication.

13. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts and waive any objection to that venue.

14. Informal resolution first

Before filing any claim, you agree to contact us at hello@ineedleads.net with a written description of the dispute and to allow 30 days for us to resolve it informally. Most problems are solved in that window, and the requirement applies to both of us.

15. Changes to these terms

We may modify these Terms at any time. Changes take effect when posted with a revised effective date. Your continued use of the Site after that date means you accept the modified Terms.

16. Severability and entire agreement

If any provision of these Terms is held unenforceable, that provision is limited or removed to the minimum extent necessary and the remaining provisions stay in full force. Our failure to enforce any provision is not a waiver of it.

These Terms, together with our Privacy Policy and Results Disclaimer, are the entire agreement between you and us regarding the Site.
